Description
Our client is a well-established private equity platform with a strong investment presence across Asia. They are seeking a Legal Manager to join their in-house legal team and work closely with the General Counsel on a broad range of legal, fund-related, transactional, and regulatory matters.This position offers an excellent opportunity for a legal professional looking to gain broad exposure across fund management, investments, portfolio management, and corporate legal matters within a fast-paced private equity environment.
Key Responsibilities
Reporting directly to the General Counsel, responsibilities will include:
- Providing day-to-day legal support to the private equity business and internal stakeholders
- Reviewing, drafting, negotiating, and advising on a variety of legal and commercial agreements
- Assisting with fund-related legal matters, including fund formation documentation, subscription agreements, side letters, investor-related documents, and ongoing fund maintenance matters
- Supporting investment transactions, acquisitions, divestments, and strategic investments from a legal perspective
- Coordinating legal due diligence exercises and managing transaction documentation
- Handling regulatory enquiries and liaising with external regulators, advisors, and service providers where required
- Advising business teams on legal, contractual, and regulatory risks associated with investment activities and business operations
- Managing relationships with external counsel and overseeing external legal workstreams
- Supporting corporate governance matters across fund vehicles and related entities
- Monitoring legal and regulatory developments impacting the private equity and asset management industry
- Assisting with special projects and strategic initiatives as required by the General Counsel and senior management
Requirements
- Approximately 5-7 years of relevant legal experience
- Candidates currently working:
- In-house within a private equity, asset management, hedge fund, or broader fund management platform, or
- Private practice lawyers or legal managers with a strong investment funds background, including experience advising on fund formation, fund structuring, fund documentation, and related transactional matters
- For qualified lawyers, 2-3 years PQE and above will be considered
- Strong exposure to investment funds and fund documentation is preferred
- Experience supporting transactions, investments, and corporate legal matters is highly advantageous
- Prior exposure to regulatory matters and interactions with financial regulators would be beneficial
- Excellent drafting, negotiation, and stakeholder management skills
- Able to operate independently while working effectively within a lean legal team
- Legal qualification is preferred but not mandatory
- Candidates with a PRC legal qualification are also encouraged to apply
- Strong English communication skills required; Chinese language capabilities would be advantageous
